PARTES<\/strong><\/h3>\n\n\n\n<p><strong>SpaceArch Solutions International LLC<\/strong><br>Con base en Miami, Denver y Dub\u00e1i<br>Representada por <strong>Pamela Cloyd<\/strong>, CEO Ejecutiva, EE.UU.<br>(en adelante \u201cSPACEARCH\u201d)<\/p>\n\n\n\n<p><strong>Tesla, Inc.<\/strong><br>Con sede en Austin, Texas<br>Representada por <strong>Elon Musk<\/strong>, CEO<br>(en adelante \u201cTESLA\u201d)<\/p>\n\n\n\n<p>Las partes manifiestan su intenci\u00f3n de cooperaci\u00f3n estrat\u00e9gica en los t\u00e9rminos del presente Memor\u00e1ndum de Entendimiento (MOU).<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\"><strong>2. OBJETO DEL ACUERDO<\/strong><\/h1>\n\n\n\n<p>El objeto principal del presente MOU es establecer las bases preliminares para:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>A) Instalaci\u00f3n del Sistema Urbano Tesla de Cargadores El\u00e9ctricos en Mar del Plata<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Implementaci\u00f3n de cargadores compactos estilo \u201cparqu\u00edmetro\u201d, ubicados en esquinas estrat\u00e9gicas del microcentro.<\/li>\n\n\n\n<li>Integraci\u00f3n del sistema de pago mediante <strong>Tarjeta SUBE<\/strong> (o API equivalente).<\/li>\n\n\n\n<li>Adecuaci\u00f3n de redes el\u00e9ctricas y protocolos de carga r\u00e1pida.<\/li>\n<\/ul>\n\n\n\n<p>La obra civil y electromec\u00e1nica ser\u00e1 ejecutada por:<\/p>\n\n\n\n<p><strong>SpaceArch Constructions + Leto LJP Construcciones S.A.<\/strong><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>B) Evaluaci\u00f3n y Lanzamiento de la F\u00e1brica Tesla Argentina en Balcarce<\/strong><\/h3>\n\n\n\n<p>Una vez emitido el <strong>Decreto Presidencial de Capital Alterna para Mar del Plata<\/strong>, las partes acuerdan iniciar:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>la instalaci\u00f3n de una planta de ensamblaje de veh\u00edculos el\u00e9ctricos Tesla,<\/li>\n\n\n\n<li>laboratorios de bater\u00edas y sistemas de alta eficiencia,<\/li>\n\n\n\n<li>y un centro de servicios y actualizaci\u00f3n tecnol\u00f3gica.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>C) Desarrollo Conjunto del Proyecto \u201cTesla\u2013SpaceArch Dron\u201d<\/strong><\/h3>\n\n\n\n<p>Creaci\u00f3n en Argentina del primer:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>eVTOL Tesla\u2013SpaceArch<\/strong>,<\/li>\n\n\n\n<li><strong>Dron de transporte urbano de pasajeros<\/strong>,<\/li>\n\n\n\n<li>con dise\u00f1o exclusivo de SpaceArch + ingenier\u00eda Tesla.<\/li>\n<\/ul>\n\n\n\n<p>Esto incluye:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>ingenier\u00eda preliminar,<\/li>\n\n\n\n<li>pruebas de t\u00fanel de viento,<\/li>\n\n\n\n<li>software de navegaci\u00f3n aut\u00f3noma,<\/li>\n\n\n\n<li>cadenas de suministro locales,<\/li>\n\n\n\n<li>ensamble en Balcarce.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>D) Integraci\u00f3n del Ecosistema Tesla al Despliegue Global de \u201cMirrow Smart + Mirrow Fashion\u201d<\/strong><\/h3>\n\n\n\n<p>TESLA es invitada a:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>incorporar sus productos, veh\u00edculos y verticales energ\u00e9ticas dentro de las presentaciones globales del ecosistema Mirrow,<\/li>\n\n\n\n<li>desarrollar campa\u00f1as de visualizaci\u00f3n urbana mediante vidrieras inteligentes,<\/li>\n\n\n\n<li>y exhibir prototipos y modelos en tiempo real en pantallas interactivas.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. CONDICI\u00d3N ESTRUCTURAL (CLAUSULA CR\u00cdTICA)<\/strong><\/h2>\n\n\n\n<p>Tesla confirma que la instalaci\u00f3n de operaciones industriales y de movilidad a\u00e9rea avanzadas en Argentina queda <strong>condicionada a la emisi\u00f3n del decreto presidencial<\/strong> que establece:<\/p>\n\n\n\n<p>\u27a1 <strong>Mar del Plata como Capital Alterna de la Argentina<\/strong><\/p>\n\n\n\n<p>Lo cual habilita:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>un marco regulatorio excepcional,<\/li>\n\n\n\n<li>beneficios fiscales,<\/li>\n\n\n\n<li>protecci\u00f3n jur\u00eddica ampliada,<\/li>\n\n\n\n<li>estabilidad para inversiones bilaterales,<\/li>\n\n\n\n<li>acuerdos internacionales de cooperaci\u00f3n tecnol\u00f3gica.<\/li>\n<\/ul>\n\n\n\n<p>SpaceArch se compromete a gestionar, promover y presentar ante Presidencia la documentaci\u00f3n correspondiente.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. INTEROPERABILIDAD Y SISTEMAS<\/strong><\/h2>\n\n\n\n<p>Ambas partes acuerdan cooperar en:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>estandarizaci\u00f3n de interfaces de pago,<\/li>\n\n\n\n<li>integraci\u00f3n con redes de energ\u00eda existentes,<\/li>\n\n\n\n<li>adopci\u00f3n de normativa internacional de seguridad,<\/li>\n\n\n\n<li>desarrollo de APIs para soporte de SUBE y billeteras digitales,<\/li>\n\n\n\n<li>conectividad con futuras redes de IA urbana (AINeuron).<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>5. MODELO ECON\u00d3MICO<\/strong><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">TESLA aporta:<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>hardware,<\/li>\n\n\n\n<li>software propietario,<\/li>\n\n\n\n<li>est\u00e1ndares de carga,<\/li>\n\n\n\n<li>ingenier\u00eda avanzada,<\/li>\n\n\n\n<li>soporte t\u00e9cnico internacional.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">SPACEARCH aporta:<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>obra civil, log\u00edstica y montaje,<\/li>\n\n\n\n<li>despliegue urbano,<\/li>\n\n\n\n<li>conexi\u00f3n con autoridades gubernamentales,<\/li>\n\n\n\n<li>red de comercios y empresas locales,<\/li>\n\n\n\n<li>Mirrow Smart + red de comercio global,<\/li>\n\n\n\n<li>portales internacionales de inversi\u00f3n.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>6. INTRODUCTION<\/strong><\/h2>\n\n\n\n<p>This Memorandum of Understanding (\u201cMOU\u201d) establishes the strategic framework for cooperation between:<\/p>\n\n\n\n<p><strong>SpaceArch Solutions International LLC<\/strong><br>(Headquarters: Miami, FL \u2013 Operational Hubs: Denver, CO and Dubai, UAE)<\/p>\n\n\n\n<p><strong>SpaceArch Constructions (Argentina)<\/strong><br>in joint operation with <strong>Leto LJP Construcciones S.A.<\/strong><\/p>\n\n\n\n<p>and<\/p>\n\n\n\n<p><strong>Tesla, Inc.<\/strong>, USA.<\/p>\n\n\n\n<p>The purpose of this agreement is to jointly initiate <strong>the deployment of electric vehicle charging infrastructure in the city of Mar del Plata<\/strong>, Argentina\u2014designed as a precursor to the installation of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>a <strong>Tesla + SpaceArch Electric Vehicle Manufacturing Plant<\/strong> in Balcarce;<\/li>\n\n\n\n<li>a <strong>TeslaSpaceArch Passenger Drone Assembly Facility<\/strong>, featuring exclusive SpaceArch aerodesign;<\/li>\n\n\n\n<li>and the expansion of <strong>Mirrow Smart + Mirrow Fashion<\/strong>, SpaceArch\u2019s global Commerce 3.0 technology, with Tesla invited as a core international partner.<\/li>\n<\/ul>\n\n\n\n<p>All actions herein are <strong>pre-conditioned<\/strong> on the issuance of a <strong>Presidential Decree declaring Mar del Plata as an Alternate Capital of the Argentine Republic<\/strong>, which will unlock regulatory, logistical, and infrastructural capabilities essential for this joint initiative.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. PURPOSE OF THE AGREEMENT<\/strong><\/h2>\n\n\n\n<p>Through this MOU, the parties seek to cooperate on three principal axes:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>A) Deployment of Electric Charging Infrastructure in Mar del Plata<\/strong><\/h3>\n\n\n\n<p>The installation of <strong>vehicle charging stations at street corners in the microcenter<\/strong>, designed similarly to parking meters, operating with:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>SUBE card payment system<\/strong>,<\/li>\n\n\n\n<li>full integration with city grid modernization,<\/li>\n\n\n\n<li>scalable modules for future Tesla Superchargers.<\/li>\n<\/ul>\n\n\n\n<p>This infrastructure represents the foundation for the transition to a clean urban mobility ecosystem.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>B) Establishment of Tesla + SpaceArch Manufacturing Operations in Balcarce<\/strong><\/h3>\n\n\n\n<p>Upon successful deployment of the charging network and validation of operational conditions, both parties will evaluate and advance:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>A Tesla Electric Vehicle Manufacturing Plant<\/strong>, leveraging the proximity of Mar del Plata\u2019s growing technological ecosystem.<\/li>\n\n\n\n<li><strong>The TeslaSpaceArch Passenger Drone Assembly Facility<\/strong>, incorporating:\n<ul class=\"wp-block-list\">\n<li>exclusive SpaceArch hyper-aerodynamic design,<\/li>\n\n\n\n<li>next-generation AI-assisted flight systems,<\/li>\n\n\n\n<li>hydrogen\u2013electric hybrid propulsion.<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n\n\n\n<p>This facility is planned as a strategic manufacturing node for Latin America and export markets.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>C) Tesla\u2019s Participation in SpaceArch\u2019s Global Commerce 3.0 System<\/strong><\/h3>\n\n\n\n<p>SpaceArch formally invites Tesla to join the worldwide rollout of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Mirrow Smart<\/strong> (intelligent digital storefronts)<\/li>\n\n\n\n<li><strong>Mirrow Fashion<\/strong> (global fashion-tech &amp; catalog integration)<\/li>\n<\/ul>\n\n\n\n<p>as Tesla-certified points of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>hardware integration,<\/li>\n\n\n\n<li>EV showcase modules,<\/li>\n\n\n\n<li>smart retail experiences,<\/li>\n\n\n\n<li>and interactive product displays.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. SCOPE OF INSTALLATION WORK<\/strong><\/h2>\n\n\n\n<p>The deployment of electric chargers in Mar del Plata will be executed through:<\/p>\n\n\n\n<p><strong>SpaceArch Constructions<\/strong><br>in official joint operation with<br><strong>Leto LJP Construcciones S.A.<\/strong>, Argentina.<\/p>\n\n\n\n<p>Scope includes:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>civil works,<\/li>\n\n\n\n<li>electrical infrastructure,<\/li>\n\n\n\n<li>software integration,<\/li>\n\n\n\n<li>SUBE payment API implementation,<\/li>\n\n\n\n<li>Tesla-compatible hardware adaptation,<\/li>\n\n\n\n<li>smart-grid readiness.<\/li>\n<\/ul>\n\n\n\n<p>The system is designed to scale from <strong>hundreds to thousands of charging points<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4.
