CLAUSE 2 – NATURE OF THE RELATIONSHIP 2.1 The parties declare that: No employment, partnership, corporate, or dependency relationship exists. The CCN MASTER FRANCHISEE acts as an independent operator. 2.2 This Agreement does not constitute a joint venture nor a general legal representation. CLAUSE 3 – SCOPE OF THE MASTER FRANCHISE The CCN MASTER FRANCHISEE is authorized to:a) Operate the CCN from its coworking facilities.b) Activate and coordinate commercial agents under the CCN model.c) Offer SpaceArch ecosystem products and services.d) Invite coworking users to act as commission-based agents.e) Commercially represent the enabled verticals. CLAUSE 4 – TERRITORIAL EXCLUSIVITY 4.1 Limited territorial exclusivity is granted for the city of [CITY].4.2 The LICENSOR may: Operate directly in other cities. Authorize additional CCNs outside the exclusive territory.4.3 Exclusivity remains valid only while the CCN MASTER FRANCHISEE meets the defined minimum KPIs. CLAUSE 5 – CONSIDERATION PROVIDED BY THE CCN MASTER FRANCHISEE The CCN MASTER FRANCHISEE shall provide, at no cost to the LICENSOR:a) Flexible access to coworking space.b) At least one operational desk.c) Connectivity, power, and basic services.d) Access to a PC/notebook or equivalent workstation.e) Access to an operational phone line or mobile device.f) Reasonable use of meeting rooms for clients. No rent or reimbursement shall accrue for any of the above. CLAUSE 6 – CONSIDERATION PROVIDED BY THE LICENSOR The LICENSOR shall:a) Provide access to the SpaceArch digital ecosystem (CRM, AI, content).b) Authorize brand use, official materials, and presentations.c) Provide initial training and operating documentation.d) Route leads and opportunities when applicable. CLAUSE 7 – ECONOMIC MODEL 7.1 The CCN MASTER FRANCHISEE shall earn income exclusively through: Commercial commissions generated by effectively closed sales. Participation in executed projects within its territory. Authorized commercial representation. 7.2 Commissions shall be set in indicative ranges of 10% to 20%, by vertical, as defined by the LICENSOR.7.3 There is no fixed franchise fee and no monthly royalty/canon. CLAUSE 8 – ALLIED REALTOR (IF APPLICABLE) Where applicable, the CCN MASTER FRANCHISEE may coordinate with one city-exclusive allied realtor responsible for: Keys Physical visits Legal real estate closing Such realtor acquires no franchise rights. CLAUSE 9 – CONFIDENTIALITY OBLIGATIONS The CCN MASTER FRANCHISEE undertakes to: Keep all strategic, technical, and commercial information confidential. Not replicate the model outside the SpaceArch ecosystem. Not disclose CCN know-how, processes, or architecture. This obligation survives for five (5) years after termination of the Agreement. CLAUSE 10 – INTELLECTUAL PROPERTY All rights over: The SpaceArch brand CCN models Digital platforms Methodologies Documentationare the exclusive property of the LICENSOR. CLÁUSULA 4 – EXCLUSIVIDAD TERRITORIAL 4.1. Se concede exclusividad territorial limitada a la ciudad de [CIUDAD]. 4.2. LA LICENCIANTE podrá: Operar directamente en otras ciudades. CLÁUSULA 5 – CONTRAPRESTACIÓN DEL FRANQUICIADO MATRIZ EL FRANQUICIADO MATRIZ CCN se obliga a proporcionar, sin costo para LA LICENCIANTE: a) Acceso a espacio de coworking en modalidad flexible.b) Al menos un puesto operativo (desk).c) Acceso a conectividad, energía y servicios básicos.d) Acceso a PC/notebook o estación de trabajo equivalente.e) Acceso a línea telefónica o celular operativo.f) Uso razonable de salas de reunión para clientes. No se devengará alquiler ni reembolso alguno por estos conceptos. CLÁUSULA 6 – CONTRAPRESTACIÓN DE LA LICENCIANTE LA LICENCIANTE se obliga a: a) Proveer acceso al ecosistema digital SpaceArch (CRM, IA, contenidos).b) Autorizar el uso de marca, materiales y presentaciones oficiales.c) Proveer capacitación inicial y documentación operativa.d) Canalizar leads y oportunidades cuando corresponda. CLÁUSULA 7 – MODELO ECONÓMICO 7.1. EL FRANQUICIADO MATRIZ CCN percibirá ingresos exclusivamente por: Comisiones comerciales generadas por ventas efectivas. Participación en proyectos ejecutados en su territorio. Representación comercial autorizada. 7.2. Las comisiones se fijan en rangos orientativos del 10% al 20%, según vertical, definidos por LA LICENCIANTE. 7.3. No existe fee fijo de franquicia ni canon mensual. FRASE DE CIERRE (CLAVE) “El lobby ya está pago.La pregunta es si también quiere que facture.” ANEXO HN ACUERDO CCN HOSPITALITY NODE (Nodo Comercial Abierto – No Exclusivo) El presente Anexo se celebra entre: SPACEARCH SOLUTIONS INTERNATIONAL, y/o la sociedad controlante que designe (en adelante, “EL SISTEMA”), y [NOMBRE LEGAL DEL HOTEL], con domicilio en [Ciudad, País], representada por [Nombre del Representante], en adelante “EL OPERADOR DEL HOSPITALITY NODE”, y forma parte integral y vinculante del marco contractual CCN. 1. OBJETO DEL ANEXO El presente Anexo regula la designación de EL OPERADOR DEL HOSPITALITY NODE como CCN Hospitality Node (HN), habilitándolo a actuar como nodo comercial abierto para la venta de productos, servicios y franquicias de SpaceArch. El Hospitality Node: No es una Franquicia Matriz CCN No posee exclusividad territorial No opera ni gobierna el sistema CCN Su función es exclusivamente la activación comercial y venta. 2. NATURALEZA DE LA RELACIÓN 2.1 Las partes acuerdan expresamente que: No existe relación laboral, societaria, de agencia, joint venture ni dependencia. EL OPERADOR DEL HOSPITALITY NODE actúa como nodo comercial independiente. 2.2 Este Anexo no otorga derechos de franquicia, territorialidad ni gobernanza. 3. ALCANCE DE LA AUTORIZACIÓN EL SISTEMA autoriza a EL OPERADOR DEL HOSPITALITY NODE a: a) Promocionar y vender comercialmente: Franquicias SpaceArch Servicios profesionales RealEstateFashion.Digital Digital Labs, arquitectura, urbanismo y optimización b) Utilizar áreas del lobby o espacios comunes del hotel como ámbito de reuniones y activación comercial. c) Habilitar personal del hotel o clientes del hotel como agentes comerciales a comisión, sujetos a las reglas del SISTEMA. 4. LIMITACIONES EXPRESAS Queda expresamente prohibido a EL OPERADOR DEL HOSPITALITY NODE: a) Atribuirse cualquier tipo de exclusividadb) Presentarse como franquicia, sucursal u oficina de SpaceArchc) Prometer ROI, retornos, plazos, garantías o resultadosd) Estructurar, fijar precios o modificar productos o contratose) Celebrar acuerdos fuera del CRM o del sistema oficial del SISTEMA 5. APORTES DEL OPERADOR DEL HOSPITALITY NODE EL OPERADOR DEL HOSPITALITY NODE deberá proporcionar, sin costo para EL SISTEMA: Acceso parcial y no exclusivo a lobby o áreas comunes Conectividad Wi-Fi, energía y servicios básicos Entorno profesional adecuado para reuniones de negocios No se devengará alquiler, fee ni reembolso alguno. 6. APORTES DEL SISTEMA EL SISTEMA se obliga a proporcionar: Materiales comerciales y pitches oficiales Acceso al CRM para registro de leads Esquemas de comisión definidos Soporte técnico y comercial de back-office Autorización de uso de marca conforme a lineamientos 7. MODELO ECONÓMICO 7.1 La compensación es exclusivamente por comisión. 7.2 Rangos de comisión: 10% a 20%, según producto o vertical, definidos por EL SISTEMA. 7.3 Las comisiones se devengan únicamente con el cobro efectivo del cliente. 7.4 No existen fees fijos, retenciones ni garantías. 8. MARCA Y COMUNICACIÓN EL OPERADOR DEL HOSPITALITY NODE: Podrá utilizar la marca SpaceArch solo según autorización expresa No podrá alterar logos, mensajes ni promesas No podrá crear sub-marcas locales Deberá mantener un mensaje técnico, empresarial y neutral 9. CONFIDENCIALIDAD EL OPERADOR DEL HOSPITALITY NODE se compromete a: Mantener confidencial toda información del SISTEMA No divulgar know-how, procesos ni arquitectura No replicar el modelo de forma independiente Esta obligación subsiste por cinco (5) años tras la terminación. 10. PROPIEDAD INTELECTUAL Toda la propiedad intelectual, incluyendo: Marca Plataformas Modelos Documentación pertenece en forma exclusiva a EL SISTEMA. 11. DURACIÓN Y TERMINACIÓN 11.1 El presente Anexo entra en vigencia con su firma y tendrá una duración inicial de doce (12) meses, renovable automáticamente. 11.2 Cualquiera de las partes podrá rescindir con 30 días de preaviso escrito. 11.3 EL SISTEMA podrá rescindir de forma inmediata ante: Promesas no autorizadas Uso indebido de marca Acuerdos paralelos Cualquier desvío del modelo CCN 12. CLÁUSULA DE SALIDA LIMPIA El Hospitality Node deberá poder desactivarse en un plazo ≤30 días, sin: Indemnizaciones Costos hundidos Reclamos laborales Activos inmovilizados 13. LEY APLICABLE Y JURISDICCIÓN El presente Anexo se regirá por las leyes de [Jurisdicción a definir].Jurisdicción: [Tribunales / Arbitraje]. Este Anexo prevalece sobre cualquier acuerdo verbal o local. 14.
