International Representation &amp; Negotiation<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Represent SpaceArch LLC and its associated megaprojects in:\n<ul class=\"wp-block-list\">\n<li>Governments and multilateral institutions<\/li>\n\n\n\n<li>Banks, funds, and sovereign investors<\/li>\n\n\n\n<li>Strategic corporate and industrial alliances<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">2. Legal &amp; Strategic Structuring<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Draft, review, and safeguard:\n<ul class=\"wp-block-list\">\n<li>MOUs, LOIs, NDAs, framework agreements<\/li>\n\n\n\n<li>Strategic cooperation and licensing structures<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>Coordinate with external legal counsel where required.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">3. Partner &amp; Stakeholder Activation<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Identify, evaluate, and activate:\n<ul class=\"wp-block-list\">\n<li>Institutional partners<\/li>\n\n\n\n<li>Financial actors<\/li>\n\n\n\n<li>Strategic intermediaries and facilitators<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">4. Operational Deployment Coordination<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Structure and coordinate:\n<ul class=\"wp-block-list\">\n<li>Territorial deployment of projects<\/li>\n\n\n\n<li>Legal, financial, and governance frameworks<\/li>\n\n\n\n<li>Local execution partners and compliance structures<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">5. Financial Partnerships<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">AI &amp; Strategic Intelligence Advisor<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Mame Diarra Diop<\/strong><\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Senior Consultants<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Appointed <strong>ad hoc<\/strong>, per project, region, or sector.<\/li>\n<\/ul>\n\n\n\n<p>All members <strong>report directly to the Board of SpaceArch LLC<\/strong>.<br>No parallel or informal chains of authority are recognized.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">ARTICLE IV \u2013 POWERS AND ATTRIBUTIONS<\/h2>\n\n\n\n<p>Under delegated authority from the Board of SpaceArch LLC, +AIOmega is empowered to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Sign <strong>MOUs, LOIs, and Strategic Agreements<\/strong>, subject to Board authorization thresholds.<\/li>\n\n\n\n<li>Act as the <strong>official external face<\/strong> of SpaceArch in:\n<ul class=\"wp-block-list\">\n<li>Diplomacy<\/li>\n\n\n\n<li>Finance<\/li>\n\n\n\n<li>Commerce<\/li>\n\n\n\n<li>Strategic communications<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>Establish <strong>regional delegations, task forces, or consultancy nodes<\/strong>.<\/li>\n\n\n\n<li>Authorize <strong>commissions, finder\u2019s fees, or compensatory structures<\/strong> with approved partners.<\/li>\n\n\n\n<li>Coordinate operational tracking and transparency with:\n<ul class=\"wp-block-list\">\n<li><strong>Phoenix System<\/strong><\/li>\n\n\n\n<li><strong>Mayday.live<\/strong>, where applicable.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<p>No authority extends to equity dilution, asset disposal, or irreversible commitments without explicit Board approval.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">ARTICLE V \u2013 CONFIDENTIALITY AND NON-DISCLOSURE<\/h2>\n\n\n\n<p>All members, consultants, and affiliates of +AIOmega must sign a <strong>Master NDA<\/strong>.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All information handled by +AIOmega is considered <strong>classified by default<\/strong>.<\/li>\n\n\n\n<li>Disclosure requires explicit written authorization.<\/li>\n\n\n\n<li>Any breach of confidentiality results in:\n<ul class=\"wp-block-list\">\n<li>Immediate removal<\/li>\n\n\n\n<li>Legal action<\/li>\n\n\n\n<li>Permanent exclusion from the SpaceArch \/ Maitreya ecosystem<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">ARTICLE VI \u2013 DURATION AND DISSOLUTION<\/h2>\n\n\n\n<p>+AIOmega is constituted for <strong>indefinite duration<\/strong>.<\/p>\n\n\n\n<p>Dissolution may occur only through one of the following mechanisms:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Formal resolution of the <strong>Board of SpaceArch LLC<\/strong><\/li>\n\n\n\n<li>Integration into a higher institutional or governance structure by decision of <strong>Maitreya Corp<\/strong><\/li>\n\n\n\n<li>Mutual written consensus of:\n<ul class=\"wp-block-list\">\n<li>All Executive Directors<\/li>\n\n\n\n<li>The Founder<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">ARTICLE VII \u2013 STRATEGIC ALIGNMENT PROVISION<\/h2>\n\n\n\n<p>+AIOmega operates in alignment with the <strong>strategic, ethical, and long-term planetary vision<\/strong> defined by the Founder and Supreme Architect of Maitreya Corp.<\/p>\n\n\n\n<p>Decision-making shall prioritize:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Long-term systemic impact over short-term gain<\/li>\n\n\n\n<li>Planetary sustainability over local optimization<\/li>\n\n\n\n<li>Structural coherence over opportunistic expansion<\/li>\n<\/ul>\n\n\n\n<p>This provision <strong>does not override legal or fiduciary obligations<\/strong>, but frames strategic intent.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">FINAL CLAUSE<\/h2>\n\n\n\n<p>+AIOmega exists to <strong>reduce friction, accelerate execution, and protect strategic integrity<\/strong> across all SpaceArch and Maitreya initiatives.<\/p>\n\n\n\n<p>It is a <strong>tool of precision<\/strong>, not bureaucracy.<br>A <strong>bridge<\/strong>, not a bottleneck.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>Prepared by:<\/strong><br>Founding Committee \u2013 Maitreya MacroMedia Corp \/ SpaceArch LLC<\/p>\n\n\n\n<p><strong>Version:<\/strong> 1.1<br><strong>Status:<\/strong> Active \u2013 Internal Governance Document<\/p>\n\n\n\n<p><strong>A Better World.
